Business & Corporate
Mergers & Acquisitions
Buying, selling or combining businesses, at home and across borders.
Overview
What this involves
A transaction is often one of the most significant moments in the life of a business. We guide buyers, sellers and investors through each stage, from early structuring and due diligence to negotiation, signing and closing, with close attention to cross-border issues.
We work closely with your financial advisors, accountants and lenders, and we coordinate with counsel abroad on cross-border deals. Where a neutral holder of deposits or purchase funds is needed, the firm can also act as attorney escrow agent.

FAQs
Frequently asked questions
When should I involve a lawyer in a sale?
As early as possible, ideally before signing a letter of intent, when key terms that shape the rest of the deal are set.
What is due diligence?
It is the buyer's investigation of the business's legal, financial and operational position. We run or respond to it and use the findings to shape the purchase agreement.
Can the firm hold the deposit?
Yes. We offer attorney escrow agent services for business purchases. See our Escrow Services page.
